Whereas, The Undersigned Eugene de Kleist of North Tonawanda, Niagara County, New York, has entered into an agreement with Fred Kohler and Anthony Wind composing the co-partnership of Koehler & Wind, of Buffalo, New York, bearing even date herewith;
Now therefore I, the said Eugene de Kleist, in consideration of the making of said agreement and of twenty-five hundred dollars, do hereby grant and assign to the said Koehler & Wind my Organ Factory and the lot on which the same stands at Sawyers Creek in the Village of North Tonawanda, Niagara County, New York, subject to the encumbrances thereon, as security for the performance thereof.
The Condition of this transfer is that if I shall well and truly perform the said agreement with the said Fred Koehler and Anthony Wind on my part, then this agreement to be void; otherwise to remain in full force and virtue.
In case of the failure of the said Eugene de Kleist to so perform, the said Koehler & Wind may sell the premises according to law, and from the proceeds of the sale pay all costs and expenses thereof, and all sums of money due and to grow due on said agreement and hereby secured, the overplus, if any, to be returned to me.
Witness my hand and seal, this 8th day of March 1897.
